Our firm has been extensively involved in the structure and development of EB-5 projects for private developers, regional centers as well as small direct EB-5 investments. We have also helped develop and counsel emerging regional centers including sensitive Native American tribal economic development regional centers. We have structured, drafted and negotiated memoranda of understandings with regional centers, drafted USCIS and SEC compliant private placement memoranda, limited partnership agreements, subscription agreements as well as complex escrow agreements to name a few. We have also helped work through and assist in the preparation of economic job creation reports and have worked extensively with CPAs in the design and structure of USCIS compliant business plans.
We have been engaged to assist in the full permitting of complex and multi-layered EB-5 projects and how they relate to various governmental agencies. We have a strategic team of immigration and securities law firms as well as the immigration publishing community that we work with to form a seamless and fully integrated working group to bring the best practices to an economically important, complex and burgeoning discipline. And, we have been fully involved in the strategic marketing component of these projects including the sensitive nature of Reg D filings and Reg S offerings so as to be fully compliant with the relevant Federal and State laws as well as the design and printing of the appropriate executive summaries and business plans along with the important interactions with foreign nationals.
